Terms of Service
1. Acceptance of Terms
By accessing or using the products and services provided by Illuminary Labs LLC ("Company"), including but not limited to non-fungible tokens ("NFTs"), customizable Discord bots, software, websites, and related services (collectively, the "Services"), you (the "User") agree to comply with and be legally bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you must cease use of the Services immediately.
2. Intellectual Property
a. NFTs: The Company retains all intellectual property rights in and to the digital images, designs, and associated content contained in or related to the NFTs it issues. The User is granted a non-exclusive, non-transferable, non-sublicensable license to use the NFTs for personal, non-commercial purposes. This license does not allow the User to alter, modify, or extend the NFT"s canonical lore or characterizations.
b. Discord Bots: The User is granted a limited, revocable, non-exclusive license to access and use the Company"s copyrighted and trademarked Discord bots. This license is subject to compliance with these Terms and does not permit any modifications to the underlying software.
c. Trademarks and Copyrights: The User acknowledges that all logos, designs, and artwork associated with the Services are the sole property of the Company and protected by copyright and trademark laws. Unauthorized use of the Company"s intellectual property is strictly prohibited.
3. User-Generated Content
a. Customizable Verbiage: The Services, particularly the customizable Discord bots, allow Users to input and utilize their own verbiage to create a unique user experience on their servers ("User-Generated Content"). Users are solely responsible for the content they input, including compliance with applicable laws and regulations.
b. No Responsibility: Illuminary Labs LLC does not monitor or control the User-Generated Content input into the Discord bots and will not be responsible for any such content. Users agree not to input verbiage that is illegal, offensive, or infringing on the rights of others. Illuminary Labs LLC expressly disclaims any liability arising from such User-Generated Content.
c. No Condonation: Illuminary Labs LLC does not condone or endorse any User-Generated Content created using its Services. The responsibility for ensuring that the verbiage adheres to legal standards and social norms rests entirely with the User.
d. Indemnification: Users agree to indemnify and hold harmless Illuminary Labs LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with their User-Generated Content, use of the Services, or violation of these Terms.
4. Disclaimers and Limitation of Liability
The Company provides the Services on an "as is" and "as available" basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of their Services, or the information, content, or materials included therein. You expressly agree that your use of these Services is at your sole risk.
The Company will not be liable for any damages of any kind arising from the use of the Services. This is a comprehensive limitation of liability that applies to all damages of any kind, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
5. Termination
The Company may terminate or suspend access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, breach of the Terms.
6. Modifications to Terms
The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State or Country in which the Company is registered, without regard to its conflict of law provisions.
